Introduction
Welcome to Havn Wellness. We are excited to support you on your journey to better emotional and physical well-being. Havn Wellness (“the Platform”) leverages advanced artificial intelligence (AI) to provide interactive experiences with AI-driven “wellbeing companions” – including characters modeled on professional coaching or therapeutic principles – aimed at fostering self-awareness, personal growth, and wellness insights. This User Agreement and Disclaimer is intended to help you understand what Havn can and cannot do, and to outline your responsibilities while using it. By using Havn, you acknowledge and agree to these terms. Our goal is to ensure you have a helpful and safe experience, so please read this section carefully.
Purpose of Havn
The primary purpose of Havn is to act as a supportive, preventive well-being assistant. Think of it as a self-care tool that complements, but does not replace, professional advice or treatment from licensed healthcare providers. Havn offers innovative ways to engage with content related to emotional and mental well-being in a supportive, non-judgmental environment. It’s like having a smart journal and coach in your pocket – available anytime to listen, reflect back insights, and suggest evidence-based practices (like breathing exercises, mood tracking, or cognitive reframing techniques).
However, it is crucial to understand that Havn is not equipped to diagnose or treat medical or mental health conditions. It cannot provide medication, therapy, or crisis counselling. Havn’s AI characters, even those modelled on counsellors or doctors, operate within a limited scope and are not a substitute for real professionals.
Acknowledgment by Users
By accessing and using Havn, you acknowledge that you understand these limitations. Havn is not a substitute for professional medical, psychological, or psychiatric advice or care. If you have serious, complicated, or persistent health concerns (mental or physical), you are strongly encouraged to seek guidance from qualified health professionals.
For example, if you are experiencing severe anxiety, depression, or any condition that significantly impacts your daily life, Havn should be used only as an adjunct support (like a self-help tool alongside other supports), and not as your sole resource.
You agree that any reliance on information or guidance provided by Havn is at your own discretion and risk. Havn is here to help with day-to-day stress, provide tips, and listen to your reflections – but it’s not a doctor or a therapist.
Scope of Guidance
1. Non-Clinical Advice
All content provided by Havn’s AI – whether it’s a conversation with a virtual “coach” character, a mood insight, or a recommended wellness exercise – should be understood as informational and educational in nature. The AI can offer general life suggestions, coping strategies, and encouragement based on patterns and positive psychology principles. It does not constitute clinical, medical, legal, financial, career, or other professional advice. For example, the AI might suggest that you try a mindfulness meditation to help with stress, but it’s not prescribing treatment for an anxiety disorder; or it might role-play a conversation to help you practice communication skills with a coworker, but it’s not legal or HR advice for a workplace dispute.
Always consult a qualified professional for advice that significantly impacts your health, finances, career, or legal standing. Havn’s content is here to guide and educate – similar to a self-help book or a wellness seminar – rather than to direct or resolve serious issues.
2. Limitations of AI Interactions
Havn utilises advanced AI to simulate conversational interactions – some of which are inspired by expertise from fields like psychology, coaching, or medicine. However, these AI-driven interactions have important limitations:

No Human Judgment or True Emotion: The AI operates on algorithms and data; it lacks human judgment and cannot fully understand the unique nuances of every personal situation. For instance, it does not truly “feel” empathy or emotions, even if it’s programmed to respond empathetically. It identifies patterns in your input and responds according to those patterns and its training.

Knowledge Cut-Off and Possible Gaps: The AI’s knowledge is based on the information it was trained on and updates provided by our team. While we aim to keep it up-to-date, it might not have information on events or research post-2024, or it may not perfectly apply every piece of knowledge to your situation.

No Nuanced Professional Assessment: Even if an AI character behaves like a therapist or a doctor in conversation, it cannot replicate the critical thinking and comprehensive assessment a real professional would provide. Human professionals consider factors like body language, detailed personal history, diagnostic criteria, etc., which an AI cannot do. The AI doesn’t know your full medical or personal history unless you explicitly provide that information, and even then it cannot interpret your information with full fidelity or context.

Possibility of Errors or Irrelevant Responses: AI can occasionally generate responses that are irrelevant, generic, or incorrect. We have designed Havn’s AI to generally provide helpful and positive content, but misunderstandings can occur. For example, it might take a figurative statement literally, or it might provide a suggestion that doesn’t perfectly fit your situation. Use your own judgment, and do not follow any advice that seems off-base or harmful. If in doubt, get a second opinion from a human expert or reach out to Havn support with your concerns.
3. Decision-Making and Personal Judgment
All decisions regarding your health, well-being, or career (including workplace matters) are ultimately your responsibility. Havn can offer support and information, but it’s you who decides what to do with that information. You are encouraged to use your own discretion and judgment when applying any insights or advice obtained from the platform.
For example, if Havn suggests taking a short break when you feel overwhelmed at work, you must decide if that’s feasible and appropriate in your actual work environment. If Havn’s mood tracker shows you’ve been feeling low for several weeks, you might decide it’s time to talk to a counselor – that decision is yours (the tool can aid you in recognizing patterns, but it does not make the decision for you).

Never disregard professional advice or delay seeking it because of something you read or received from Havn. If you’re ever uncertain whether it’s okay to rely on Havn’s guidance for something important, err on the side of seeking help from a human professional.

Users Must Exercise Judgment: We urge you to apply your own judgment to any health, wellness, or career-related advice offered by Havn. Havn Wellness does not take responsibility for the decisions you make or the outcomes of those decisions.

Recommendations for Professional Help

Havn is designed to recognize its own limits. The platform will actively recommend seeking direct professional assistance for any serious, urgent, or complex issues that you discuss. For instance, if you tell the AI you’re feeling suicidal or it detects signs that you might be in a crisis (such as mentioning thoughts of self-harm, harm to others, or symptoms of a possible psychotic episode or medical emergency), it will not attempt to handle that on its own. Instead, it may provide you with information about emergency services or crisis hotlines. Havn is not designed to address or respond to emergency situations.

If you are in crisis or considering harming yourself or others, or in any other emergency, stop using the app and seek immediate help from emergency services (for example, calling 111 in New Zealand, 911 in the USA, 112 in the EU, or the appropriate emergency number in your region). Havn may show you a prompt such as “It sounds like you might be going through a really tough time. If you are in danger or need urgent help, please reach out to a mental health professional or call emergency services.”

Additionally, if you’re using Havn and it becomes apparent that the complexity of your issue is beyond self-help (for example, you mention having severe panic attacks daily or describe ongoing trauma), expect that the AI will encourage seeking professional therapy or other appropriate help. This is by design – we want you to get the best help possible. Remember, using Havn in tandem with professional help can be beneficial (for example, journaling in Havn between therapy sessions, or using it to practice coping skills that your therapist recommended), but it should never be your only source of support in acute or serious situations.
4. Human-in-the-Loop Escalation
While Havn primarily operates through automated AI interactions, there are human oversight and safety mechanisms behind the scenes. Our team is continuously refining the AI and monitoring overall system behavior (not individual private conversations, but aggregated usage patterns and any flagged issues) to ensure user safety and improve the service. If the AI detects language indicating you might pose an imminent risk to yourself or others, its protocol is to provide you with urgent resources (for example, “Here is the number for a 24/7 crisis line”) and strongly encourage you to involve a human professional or emergency services.
Importantly, Havn does not alert emergency services or any third party on its own. We maintain your privacy and leave the decision to seek outside help in your hands, except in extreme cases where we might be legally obligated to act (which are rare and would involve a clear and present danger). In the future, if Havn offers any feature where you can voluntarily connect with a human coach or counselor, that would be separate from the AI interactions and would involve its own consent and terms. For now, “human-in-the-loop” primarily means our team may review de-identified conversational data to help tune the AI’s behaviour, and that we’ve set the AI to know when to step back and prompt you to get human help instead of attempting to handle a critical situation itself.
AI Ethics and Explainability
Our commitment is that Havn’s AI is developed with strong ethical guidelines and a research-driven foundation. The techniques and exercises suggested by the AI are drawn from established psychological and wellness practices (like cognitive-behavioral therapy strategies, mindfulness exercises, and other evidence-based approaches). The platform’s development has been informed by input from experts in psychology and AI ethics, and we continuously consult current research to update Havn’s content.
We aim to make the AI’s behaviour as transparent as possible. You’ll notice that Havn often explains its suggestions (e.g., “Research shows that writing down what you’re grateful for can improve mood, so how about we try a quick gratitude exercise?”). We believe you have a right to understand at a high level why Havn is suggesting something – usually because evidence indicates it might help people in situations similar to yours. However, Havn’s underlying AI model is complex, and it doesn’t generate a detailed explanation for every response. Just know that we’ve trained and constrained the AI to behave in positive, supportive ways.
We welcome your questions if something isn’t clear. If you ever want to know more about how Havn works or why it recommended something, you can reach out to our team. We might not share proprietary algorithms, but we can often clarify the general rationale or the evidence behind a particular suggestion.
Limitations of Liability and User Responsibility
1. Acknowledgement of Risks
Using Havn involves acceptance of certain inherent risks and limitations. By proceeding to use the platform, you acknowledge that you understand the AI’s limitations and fallibility (as described above) and accept responsibility for your use of Havn. Interactions with the platform, including those with AI characters that mimic professionals, are undertaken with the understanding that AI is not perfect and may sometimes be flawed. We’ve outlined many of these limitations in this agreement. By using Havn, you confirm that you understand and assume these risks.
2. User Responsibility

You agree that you will use Havn responsibly and in accordance with our Terms of Use and user conduct rules. This includes adhering to the User Conduct guidelines outlined in the Terms of Use (for example, not attempting to misuse the platform or to get it to produce inappropriate content). If you misuse Havn or violate our terms, you accept that we may suspend or terminate your access to the platform. Our priority is to maintain a safe and positive environment for all users.

Additionally, as emphasized throughout this agreement, you are responsible for evaluating the information and guidance Havn provides and deciding whether and how to apply it. Havn disclaims responsibility for any decisions you make or actions you take in your life; we are here to support, not direct, your personal choices. For example, if the AI suggests you approach a conflict with a colleague by having a calm, honest conversation, and you choose to do so but it doesn’t resolve the issue (or makes it worse), that outcome is not something Havn can be liable for – human relationships and situations are complex, and AI advice cannot account for every factor. Always use common sense, exercise your own judgment, and consider consulting human professionals for second opinions on important matters.

Use Your Own Judgment: In particular, you agree to use your own judgment regarding any health, wellness, or career/workplace suggestions from Havn. You are the final decision-maker, and you are solely responsible for the outcomes of any decisions you make based on the platform’s guidance.
3. Exclusion of Liability
To the maximum extent permitted by law, Havn Wellness (including its creators, team members, affiliates, and partners) will not be liable for any harm or damages arising out of or in connection with your use of the platform. This includes any direct, indirect, incidental, consequential, special, or punitive damages. It covers situations including (but not limited to) injury, emotional distress, lost profits, lost data, or other losses you might experience related to using Havn.
You use the platform at your own risk. For example, if you follow advice from the AI and it doesn’t help or potentially makes you feel worse, or if you are unable to access the app during a time you wanted to use it (say due to an outage or technical issue), we are not liable for any resulting impact. Havn provides its services “as is”, without warranties of any kind, as further detailed in our Terms of Use.
While we strive to maintain high quality and accuracy, we cannot guarantee that the service will be flawless or will meet every user’s unique needs. (Note: Some jurisdictions do not allow certain liability exclusions. In such cases, our liability is limited to the fullest extent permitted by applicable law, as described in the Terms of Use.)
3. Indemnification
As a user of Havn, you agree that if your actions cause harm to Havn or if you use the platform in a way that violates any laws or infringes on the rights of third parties, you will indemnify and hold Havn (and related parties) harmless from any resulting claims, liabilities, or expenses.
In plain language, this means you agree to protect us (including our employees, affiliates, and partners) from any costs or legal consequences that arise because of something you did in connection with Havn. This obligation is also outlined in our Terms of Use. For example, if you somehow use Havn to defame someone or to distribute content you have no right to share (even though the platform is not intended for public content sharing) and we get sued because of it, you agree to cover our legal expenses and any damages. We don’t expect this to happen – Havn is meant for private well-being support, not public postings – but this clause is here to protect the platform and our team.
4. Platform Changes and Availability
Havn reserves the right to update or change aspects of the platform at any time. As noted in our Terms of Use, we may modify features, add or remove content, or even suspend the service (or your access to it) as needed for maintenance, improvements, or legal compliance.
We also reserve the right to terminate the platform or your use of it if we deem it necessary (for example, if you violate our policies or if we decide to discontinue the service). These actions, if taken, are usually to maintain and improve the platform or to protect users and Havn’s interests – they are not taken lightly. We will endeavor to notify users of major changes or disruptions, but there may be cases (such as urgent technical fixes) where advance notice is not possible. By using Havn, you acknowledge that the service may evolve over time and that availability is subject to change.
Rights Reserved and Governing Law
1. Intellectual Property
All intellectual property rights in the Havn platform and its content (including software, text, graphics, logos, and trademarks) are owned by Havn Wellness or are used under license.
You agree not to infringe upon these rights. This means you should not copy, distribute, modify, or create derivative works from any part of the platform without express permission from us. For example, you cannot copy the AI’s responses and publish them as your own content for profit, and you cannot use our trademarks (like the name Havn Wellness or our logos) in a way that confuses others or implies endorsement by us without permission. Respecting our intellectual property ensures we can continue providing Havn to users in a sustainable way.
2. Changes to this Agreement
Just as with our Terms of Use, Havn may update this User Agreement and Disclaimer from time to time. These updates might happen to address new features, changes in the law, or improvements in how we explain our service. If we make significant changes, we will notify users through appropriate channels (for example, via an in-app notification or email). We encourage you to review this agreement periodically so you remain informed of any updates. Continued use of the platform after any changes to these terms means that you accept those changes. If we implement a major change that you are not comfortable with, you have the option to stop using Havn. Remember, this User Agreement and Disclaimer is meant to work alongside our Terms of Use and Privacy Policy. Together, these documents govern your use of Havn, and we strive to keep them consistent with each other.
3. Governing Law
This User Agreement and Disclaimer is governed by the same laws that govern our Terms of Use – generally, the laws of New Zealand (except to the extent that local law in your jurisdiction requires otherwise). By using Havn, you agree that any disputes arising from this agreement will be handled in accordance with the dispute resolution procedures outlined in the Terms of Use (which may include arbitration or specifying certain courts or jurisdictions for legal proceedings). We choose a governing law for clarity and consistency across our user base. This does not override any mandatory rights you have under the laws of your own country of residence; it primarily applies to how this agreement is interpreted and enforced.
Entire Agreement
This User Agreement and Disclaimer, together with Havn’s Terms of Use and Privacy Policy, constitute the entire understanding between you and us regarding your use of the platform. These documents collectively replace any prior or contemporaneous discussions or communications (written or oral) about the same subject matter. In case of any inconsistency between this User Agreement & Disclaimer and the Terms of Use, the Terms of Use will generally prevail (since they contain the core legal terms of service), but we have made an effort to ensure that all documents are in harmony. Essentially, this disclaimer provides clarity on usage and limitations, the Terms provide legal and operational terms for using Havn, and the Privacy Policy covers how we handle your data. Together, they set the expectations for both you and Havn.
User Conduct Reminder
We want Havn to remain a safe and positive environment. As mentioned, users must adhere to our conduct guidelines. This means treating the platform, the AI, and any community features with respect. You should not attempt to use Havn to do harm, to generate prohibited content, or to harass anyone. If you misuse the platform or violate the letter or spirit of these agreements, we may terminate or suspend your access immediately to protect the platform and its users. We prefer to educate and warn users rather than ban anyone, but user safety and well-being come first. By following the rules and using Havn in the way it’s intended, you help us maintain a supportive community for everyone.
Data Privacy and Security
This is a reminder that all personal data is handled according to our Privacy Policy. By using Havn, you consent to the data practices described in that policy, including what data we collect and how we use or share it. You also have rights regarding your data (for example, the right to access or delete your information) as outlined in the Privacy Policy. We design Havn with privacy in mind – for instance, your conversations are private and only accessible to you, as detailed in the Privacy Policy (we do not provide your conversation content to other users or outside parties, except in rare cases if required by law or for safety as specified). We use encryption and other security measures to protect your data. However, no system can be guaranteed 100% secure, so we also advise you to take precautions: keep your login credentials confidential, and be mindful of using the app on secure devices. If you have any concerns about how your data is being handled, please review the Privacy Policy or contact us for more information. We want you to feel safe not just emotionally when using Havn, but also in terms of your personal information.
Acceptance of Terms
In summary, by continuing to use Havn, you are agreeing to this entire User Agreement and Disclaimer, as well as our Terms of Use and Privacy Policy. If at any point you feel you cannot agree to these terms, or if you become uncomfortable with Havn’s limitations and scope, you should discontinue use of the platform. Our relationship with you is built on mutual understanding – we commit to providing Havn in an ethical, transparent manner and being clear about what it can and cannot do, and you agree to use it with awareness of those limitations and with personal responsibility for your well-being.
Havn Wellness is built on a foundation of research, empathy, and innovation. We genuinely believe in the positive impact it can have – helping you track your moods, learn new coping skills, and feel heard on days you just need to vent. We are also mindful that real human connection and professional care are irreplaceable when it comes to serious matters of health. By setting out these terms clearly, we hope you feel empowered to use Havn as it’s intended: as a partner in your preventive self-care routine, not a cure-all solution.
We are committed to fostering a safe, respectful, and inclusive environment for all users.
